About 2 ½ years ago, Mr. Daniel Lee Earl of Las Vegas who I believed was my friend at the time, introduced me to Richard Fritzler (Sr.) of Nevada Corporate Services. Dan was aware of my financial and potential legal challenges caused by a dishonest accountant and a dishonest attorney who had worked for me and he convinced me that Mr. Fritzler could help me. Mr. Fritzler sells “mature” corporations and was eager to come up with a plan to protect my two main assets a geologic database valued for more than a billion dollars and some oil and gas leases in Nevada. Mr. Fritzler came up with a scheme using several of his “mature” corporations to “protect” my assets from creditors and that he would “earn” his fee from the scheme unless I just happened to have the $45K to buy the corporations from him. His plan includes a “deep corporation” that would supposedly own my data (Mount Blanc Technologies) and several front corporations (Tropical Vibe, Old Bandie and Outland Studies) that would have the right to market licenses to the data. Whenever we sold one of my prospects for several million dollars a bylaw in the deep corporation would require the purchaser to pay most of money for stock in the deep corporation. He would then take his cut (nearly a million dollars) from the tax-free cash from the stock sale and he assured me that I would have plenty of tax-free cash too. It sounded fishy to me but he assured me that his clients all of the country are pleased with his plan. He was concerned that the deep corporation needed to show that it had value and had me sign liens on my personal properties (homes in Las Vegas, Austin, and Eureka and a storage barn in Hiko, NV) with a cumulative value of nearly a million dollars to the deep corporation. I was promised that I would have “control” of the corporations by being given all the voting rights of the stockholders. He told me that I would receive an envelope giving me that power, which I never received. He said it was important that I did not know who were the stockholders so I could honestly answer I did not know if I were questioned in a court of law. I felt very uneasy about the whole scheme but Dan, who I thought I could trust, assured me that it was the right thing for me to do.

It is very hard to get companies interested in the oil and gas potential of Nevada and even harder to get them to commit to come to Las Vegas. However, when they come they are ready to do business. However, because of my relationship with Dick’s corporations, Dan and Dick insisted that they negotiate the agreements. Their weird, paranoid behavior ran off the prospective buyers (Carrizo Oil and Gas, Chesapeake Oil and Gas, Paul Hait company, Matt Bradshaw and associates, etc.). Finally I recently received a call from an interested party that was ready to buy a prospect that I desperately needed to sell. The oil and gas prospect also has a potential for gold. Mr. Fritzler was so paranoid about dealing with concentrates instead of the industry standard of Net Smelter Returns that he caused my client to get cold feet. My client sincerely asked me if Mr. Fritzler and Mr. Earl were associated with the Mafia. Mr. Fritzler commanded me not to contact my client. I felt a need to see if I could salvage the multi-million dollar sale and I defied Mr. Fritzler’s command and called my client. Mr. Fritzler got so angry when I told him that he told me “I quit” and then hung up on me. At that moment I felt that I had been scammed big time. I tried to call Dan who had easily accepted my calls in the bust but he said he was too busy to talk to me. That is when my feelings of doubt about his integrity were confirmed. He was now working for Mr. Fritzler and I am certain that Mr. Fritzler told him not to talk to me. They had me isolated and desperate.

They know that I am barely getting by on a contract that I had negotiated with Phoenix Oil and Gas that makes $7500 monthly payments to Tropical Vibe. I have to beg Mr. Fritzler for the $7500 each month. After paying interest payments and health insurance premiums I barely have enough money each month to buy a few groceries for my sick wife, severely mentally challenged 22 Downs Syndrome son and myself. My youngest daughter went to live with her girlfriend’s family in Texas last year when she saw that we could not make ends meet each month. I am afraid that Mr. Fritzler will not provide me the monthly “stipend” anymore as punishment for me defying his order to not call my client.

I believe the simplest solution to unravel the scam is for Mr. Fritzler to give me ownership and control of the four corporations as there are many agreements with my clients already in the names of the corporations and the four corporations control my personal property. Fortunately, no company bought stock in Mount Blanc so the IRS has not been defrauded.

Mr. Fritzler signed an agreement to provide Phoenix Oil and Gas some gravity data for $15K. However, I own and control the data as it is part of my intellectual property and I have no obligation to do a favor for Mr. Fritzler by providing the data to Phoenix Oil and Gas. Therefore, Mr. Fritzler sold something he does not own or control and took the $15K payment. This may be my greatest leverage to get control of my property, money, and client accounts. I recently found out that Mr. Fritzler is not registered with the SEC to sell securities (seasoned corporations). Therefore, I believe it improper, if not illegal, to offer him anything for them.
